Terms

  1. Services. Studio will provide the services listed in the line items above (the "Services"). Line items reference Studio's standard packages; the "What's included" section describes each one. Anything not listed is outside the scope. Client can request extra work at any time, and Studio will quote it separately or bill it at $75 per hour with Client's approval.
  2. Fees and payment. The total fee for the Services is $1,500. No deposit is required. The full fee is due on delivery, meaning when Studio delivers the finished work: the written report for an audit, or the fixes published to Client's site for remediation. Invoices are due within 7 days. Client may pay by card or bank transfer through Studio's online payment processor, or by another method listed on the invoice. If a payment is late, Studio may pause work until the account is current. Client's rights to the finished work begin once the fee is paid in full. Client agrees to raise any billing problem with Studio first, before disputing a charge with its bank or card issuer.
  3. Timeline. Delivery estimates are given in good faith and depend on Client sending content, feedback, and approvals promptly. The timeline starts when Client signs this Agreement and Studio has the content it needs. Time lost waiting on Client extends the delivery date by at least the same amount.
  4. Revisions. The package includes the number of revision rounds stated in its description. A revision round is one consolidated list of changes to the draft. Changes beyond the included rounds, or changes to the agreed scope (new pages, new features, a new direction after approval), are billed at $75 per hour or quoted in writing before the work starts.
  5. Client responsibilities. Client will provide the text, images, logos, account logins, and other materials Studio needs, and will review drafts and give feedback within a reasonable time. Client is responsible for the accuracy of the information on the site and for any legal notices its business requires. Client confirms it owns or has permission to use everything it provides, and Client is responsible for any claim that arises from materials Client supplied.
  6. Ownership and intellectual property. When Client has paid in full, Client owns the finished website: its design, the code written specifically for it, and all content on it. Until then, Studio keeps ownership of the work. Studio keeps the rights to its general tools, templates, code libraries, and know-how, and may reuse them for other clients. Open-source and third-party components stay under their own licenses.
  7. Portfolio. Studio may show the finished work in its portfolio and name Client as a client, with a link to the site. Client can opt out at any time by telling Studio in writing, and Studio will remove the work within a reasonable time.
  8. Third-party costs. Domain names, hosting (unless covered by a separate Hosting & Care Agreement), paid plugins or software, stock photos, email services, and similar third-party costs are Client's responsibility. Studio will tell Client about any such cost before incurring it, and Client either pays the vendor directly or reimburses Studio at cost.
  9. Hosting and maintenance. Hosting, updates, and ongoing support are not included unless listed in the line items. Studio offers them under a separate Hosting & Care Agreement. If Client hosts the site elsewhere, Studio will deliver the site files and spend up to one hour helping with the handoff at no charge; further help is billed at $75 per hour.
  10. Accessibility work. Where accessibility services are included, Studio will remediate the listed pages or documents to the WCAG 2.1 Level AA standard, verify the work with automated checkers plus manual keyboard and screen-reader testing, and provide a written report. Studio does not promise that the site or documents will comply with the ADA or any other law, or that Client will be free from complaints or claims. Studio is not a law firm and does not give legal advice.
  11. Warranties. Studio will perform the Services in a professional manner consistent with industry practice, and will fix at no charge any defect in its own work that Client reports within 30 days after delivery. Beyond that, the Services and the site are provided as-is. Studio does not guarantee search engine rankings, traffic, leads, sales, or uninterrupted operation, and is not responsible for changes made by Client or third parties after launch.
  12. Limitation of liability. Studio's total liability under this Agreement is limited to the fees Client actually paid under it. Neither party is liable to the other for indirect, incidental, special, or consequential damages, including lost profits or lost data, even if told they were possible. This limit does not apply to a party's own fraud or willful misconduct.
  13. Termination. Either party may end this Agreement before delivery with written notice (email is fine), and Client owes nothing for the work done up to that point. In that case Studio keeps all rights to the design, code, and drafts, and Client may not publish or use them. Any extra work Client approved in writing at $75 per hour is still payable.
  14. Independent contractor. Studio is an independent contractor, not an employee, partner, or agent of Client. Studio sets its own hours and methods and is responsible for its own taxes and insurance.
  15. Governing law and disputes. This Agreement is governed by the laws of the State of Tennessee. If a dispute comes up, the parties will first try in good faith to resolve it directly. Any claim that cannot be resolved that way will be brought in the state or federal courts serving the county in Tennessee where Studio has its principal place of business.
  16. Entire agreement and signatures. This Agreement, together with the line items above and any accepted quote they reference, is the whole agreement between the parties and replaces any earlier discussions. Changes must be in writing, and email counts. If one part is unenforceable, the rest still applies. Both parties agree that electronic signatures, including typing a name into the signing form for this document, are valid and binding, and that a copy of this signed document is as good as the original.
